Re-registration of Private Company

A company may re-register from a private limited company to a public limited company provided that the following steps are taken:

  1. Pass an appropriately worded Special Resolution to re-register as a public company and make consequential alterations to the articles of association.
  2. Complete application for re-registration RR02 and file at Companies House.

Companies House will issue a certificate of incorporation on re-registration (normally after waiting 28 days from the date of the resolution). Re-registration is effective from the date of that certificate.

Following re-registration the name displayed at the registered office and other places of business will need to be altered. Also all business notepaper, letterheads and any other documents on which the company name is displayed will need to be altered.
